These Terms of Service (“Terms”) govern your access to and use of the website, software, and related services provided under the ReputationFlo™ brand by SignalFlo, LLC, a Colorado limited liability company (“Company,” “we,” “our,” or “us”).

By accessing or using our Services, you agree to these Terms.

1. Company Information

ReputationFlo™ is a product and service offering of SignalFlo, LLC.

All contractual obligations are between you and SignalFlo, LLC.

2. Services Overview

ReputationFlo provides software tools and related services designed to assist businesses in:

  • Collecting and analyzing feedback
  • Monitoring online reputation
  • Measuring performance metrics
  • Managing review-related workflows
  • Generating aggregated analytics

We reserve the right to modify, suspend, or discontinue any portion of the Services at any time.

3. Eligibility

You must be at least 18 years old and legally authorized to represent your organization to use our Services.

4. Acceptable Use

You agree not to:

  • Use the Services for unlawful purposes
  • Violate applicable review platform policies
  • Attempt to gain unauthorized access to systems
  • Reverse engineer or copy proprietary systems
  • Interfere with Service functionality
  • Use the Services to engage in deceptive or manipulative review practices
  • You are solely responsible for ensuring your use complies with applicable laws and platform rules.

5. Client Responsibilities

Clients are responsible for:

  • Providing accurate information
  • Maintaining lawful marketing practices
  • Ensuring compliance with FTC, state, and platform guidelines
  • Proper implementation of any review or feedback workflows

Company promotes compliant practices but does not guarantee regulatory outcomes.

6. Optional Referral Introductions

From time to time, users may elect to receive information from third-party providers.

If a user affirmatively requests such information:

  • Company may facilitate introductions
  • Company may receive referral compensation
  • Company does not control third-party services
  • Company is not responsible for third-party products, services, or representations.

7. Intellectual Property

All content, trademarks, logos, software, analytics models, and proprietary methodologies are the property of SignalFlo, LLC unless otherwise stated.

You may not reproduce, distribute, or create derivative works without written permission.

8. Aggregated Data and Analytics

Company may generate aggregated, anonymized, or de-identified analytics derived from use of the Services.

Such aggregated insights remain the property of SignalFlo, LLC and may be used for commercial, research, or product development purposes.

No aggregated data will identify specific individuals or clients without authorization.

9. Payment and Billing

If applicable:

  • Fees are governed by separate service agreements
  • Payment terms are defined in invoices or contracts
  • Failure to pay may result in suspension

All fees are non-refundable unless otherwise agreed in writing.

10. Disclaimers

Services are provided on an “as is” and “as available” basis.

Company does not guarantee:

  • Specific review volume
  • Search engine rankings
  • Platform positioning
  • Regulatory immunity
  • Business outcomes

Users assume all risk associated with reliance on Services.

11. Limitation of Liability

To the fullest extent permitted by law:

SignalFlo, LLC shall not be liable for indirect, incidental, consequential, special, or punitive damages.

Total aggregate liability shall not exceed the amount paid by the client to Company during the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless SignalFlo, LLC from claims, damages, losses, or liabilities arising from:

  • Misuse of the Services
  • Violation of applicable laws
  • Breach of these Terms

13. Termination

Company may suspend or terminate access at its discretion for violations of these Terms.

Upon termination, rights to access Services cease immediately.

14. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles.

Any disputes shall be resolved in the state or federal courts located in Colorado.

15. Changes to These Terms

Company may update these Terms periodically.

Continued use of the Services after updates constitutes acceptance of revised Terms.
